These Terms of Service govern your use of LedgerPay, a commercial SaaS platform for accounts payable management. Please read these terms carefully before using the Service. By creating an account or using LedgerPay, you agree to be bound by these Terms.
By accessing or using LedgerPay ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
LedgerPay is a commercial Software as a Service (SaaS) platform designed for accounts payable management, invoice processing, vendor management, and payment authorization workflows. The Service is intended exclusively for business use by authorized finance professionals. LedgerPay is not a bank, payment processor, or financial institution. All payment execution is facilitated through third-party payment processors (including Stripe) subject to their own terms and conditions.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify LedgerPay of any unauthorized use of your account. LedgerPay reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity. Each account is associated with a single company tenant; sharing accounts across organizations is prohibited.
LedgerPay offers subscription plans (Starter, Growth, Enterprise) billed monthly or annually. Subscription fees are charged in advance. All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Failure to pay subscription fees may result in suspension of your account. Annual subscriptions receive a 20% discount compared to monthly billing. Enterprise plans include custom pricing and SLA agreements.
LedgerPay operates as a multi-tenant platform. Each company's data is logically isolated using row-level security policies enforced at the database level. While we implement industry-standard security measures, no system is completely immune to security risks. You are responsible for the accuracy of data you input into the Service and for maintaining appropriate internal controls over your use of the platform.
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable laws; (b) attempt to gain unauthorized access to any part of the Service or its infrastructure; (c) upload or transmit malicious code, viruses, or any software designed to damage or interfere with the Service; (d) use the Service to process payments for illegal goods or services; (e) reverse engineer, decompile, or disassemble any part of the Service; (f) resell or sublicense access to the Service without written authorization from LedgerPay.
LedgerPay's payment authorization workflow requires explicit human approval before any payment is executed. You acknowledge that: (a) LedgerPay does not automatically execute payments without authorized user approval; (b) you are responsible for verifying the accuracy of all invoices and payment instructions before authorization; (c) LedgerPay is not liable for payments authorized by your users that are later disputed; (d) all payment authorizations are logged with cryptographic audit trails for compliance purposes.
LedgerPay uses artificial intelligence to generate invoice priority scores and payment recommendations. These AI-generated scores and recommendations are provided for informational purposes only and do not constitute financial advice. You are solely responsible for all payment decisions made using the Service. AI outputs may contain errors and should be reviewed by qualified finance professionals before acting upon them.
You retain ownership of all data you input into LedgerPay. By using the Service, you grant LedgerPay a limited license to process your data solely for the purpose of providing the Service. LedgerPay will not sell your data to third parties. Data processing is governed by our Privacy Policy, which is incorporated into these Terms by reference. Upon termination of your subscription, you may export your data for 30 days before it is permanently deleted.
LedgerPay and its licensors retain all intellectual property rights in the Service, including software, algorithms, user interface designs, and documentation. These Terms do not grant you any rights to LedgerPay's intellectual property except the limited right to use the Service as described herein. You may not copy, modify, or create derivative works based on the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEDGERPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. LEDGERPAY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEDGERPAY IN THE 12 MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LEDGERPAY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
You agree to indemnify, defend, and hold harmless LedgerPay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you submit to the Service.
Either party may terminate these Terms at any time. LedgerPay may suspend or terminate your access immediately if you violate these Terms, fail to pay subscription fees, or engage in fraudulent activity. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. You waive any right to participate in class action lawsuits or class-wide arbitration.
LedgerPay reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
